Terms of Service

Effective date: September 3, 2026

These terms govern your use of DixonDesk, a desktop application for resellers. By downloading, installing, or using DixonDesk, you agree to these terms. If you don’t agree, don’t use the software.

1. What DixonDesk is

DixonDesk is Windows desktop software that helps you track purchases, sales, inventory, and profit for a resale business, syncing directly with the marketplace and email accounts you connect. It runs locally on your own computer — your business data is stored in a file on your machine, not on a server we operate. See our Privacy Policy for the full detail on what data goes where.

2. Trial and subscription

DixonDesk includes a free trial with full functionality and no card required. After the trial, continued use of most features requires an active, paid subscription, billed through Lemon Squeezy, our payment processor and merchant of record. Current pricing, tiers, and billing terms are shown at checkout and on our pricing page, and may change from time to time — the version shown at the time you subscribe or renew is what applies.

What happens if your trial or subscription lapses: your existing data is never locked away. The dashboard, every tab, and full export stay available for as long as you want, regardless of subscription status. What requires an active subscription is adding new activity — automatic syncing pauses, and creating or editing purchases, sales, and other records is disabled until you renew. Reactivating a license restores full functionality immediately; nothing about your existing data is deleted or altered by a lapse.

Refunds and billing disputes are handled according to Lemon Squeezy’s own terms and our stated refund policy, if any, in effect at the time of your purchase.

3. License to use the software

Subject to these terms and an active subscription (or trial period), we grant you a limited, non-exclusive, non-transferable license to install and use DixonDesk for your own business purposes. This license doesn’t give you the right to redistribute, resell, sublicense, reverse engineer the license verification system, or circumvent any part of how the software checks or enforces subscription status.

Each license activates on a limited number of devices at a time — the current limit is shown on our pricing page. Moving to a new device may require deactivating an existing one first.

4. Your data and your responsibility

Because DixonDesk stores your business data locally rather than on a server we control, you are responsible for backing it up. DixonDesk includes automatic and manual backup tools to help with this, but we do not maintain a remote copy of your data, and we cannot recover it if your device is lost, damaged, or the file is deleted, beyond whatever backups you’ve configured yourself.

DixonDesk calculates profit, cost, and other figures based on the data you enter or that syncs from your connected accounts. These calculations are provided as a business tool, not as tax, accounting, or legal advice. You’re responsible for verifying any figures you rely on for tax filing, financial reporting, or other important decisions, ideally with a qualified professional.

5. Connected third-party accounts

DixonDesk connects, using credentials you provide, directly to your own email account(s) and marketplace seller account(s). Your use of those accounts through DixonDesk is still subject to that provider’s own terms of service — DixonDesk is not responsible for changes those providers make to their APIs, policies, or your account standing with them, including if a provider suspends your access or changes what data is available to third-party tools like DixonDesk.

6. Disclaimers and limitation of liability

DixonDesk is provided “as is,” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or that the software will be error-free or uninterrupted. To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages arising from your use of the software, including but not limited to lost profits, lost data, or business decisions made based on figures the software calculated or displayed.

Nothing in this section limits liability where the law doesn’t allow it to be limited.

7. Termination

We may suspend or terminate your license if you violate these terms. You can stop using DixonDesk and cancel your subscription at any time; your data remains on your own machine and under your own control regardless of subscription status, per Section 2 above.

8. Changes to these terms

We may update these terms from time to time. If a change is material, we’ll update the effective date above and make a reasonable effort to let existing subscribers know. Continuing to use DixonDesk after a change means you accept the updated terms.

9. Governing law

These terms are governed by the laws of Ohio, without regard to its conflict of law principles.
